Description
In-house legal, four lawyers, roughly 900 contracts a year. Most of them are our own paper with the counterparty's redlines, and most of the review time goes on confirming that clause 14 is unchanged for the four hundredth time. We want a first-pass review that diffs an incoming contract against our standard template, classifies each deviation by our own playbook — acceptable, negotiable, escalate — and writes a note for the lawyer. It does not approve anything and it does not send anything to a counterparty. The playbook is ours and it is specific. Encoding it accurately is most of this job; the model work is the easier half. Expect to sit with our general counsel to get the classifications right.
Responsibilities
- Build clause-level diffing against our standard templates across the contract types in scope
- Encode the negotiation playbook as reviewable rules, developed with our general counsel
- Classify every deviation and write a lawyer-facing note explaining why
- Never approve, sign or send — output is always a review artefact
- Track which classifications the lawyers overturn, so the playbook can be corrected
